Terms of Service

These Terms of Service ("Terms") govern your access to and use of acuteadacompliance.com and the Acute ADA Compliance products and services (collectively, the "Service"), operated by Acute ADA Compliance, a division of Acute SEO ("we," "us," or "our"). By accessing the site, installing the plugin, or subscribing to a paid plan, you agree to be bound by these Terms.

1. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

• Use the Service in any way that violates applicable law or regulation.
• Attempt to gain unauthorized access to any portion of the Service, other accounts, or related systems.
• Reverse engineer, decompile, or disassemble the plugin or platform code except as expressly permitted by law.
• Resell, sublicense, or redistribute the Service without our written agreement (Enterprise reseller arrangements available separately).
• Use the free scanner in an automated or scripted manner that exceeds published rate limits.

2. Subscriptions and Billing

Paid plans are billed monthly or annually in advance via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

• Cancellation. You may cancel at any time from your account dashboard or by contacting support. Cancellations take effect at the end of the current billing period. We do not provide prorated refunds for unused time on monthly plans.
• Annual plans. Annual prepayments are non-refundable except where required by applicable law. We will, however, work with you in good faith on unusual circumstances.
• Price changes. We may change pricing with 30 days' notice. Existing subscriptions are honored at their current price through the end of the current term.
• Failed payments. If a payment fails, we may suspend Service access until the account is brought current. Repeated failures may result in account termination.

3. The Service: What We Provide and What We Don't

3.1 What we provide

• Automated WCAG 2.1 Level AA accessibility scanning of WordPress sites.
• Server-side HTML remediation covering approximately 68% of WCAG 2.1 Level AA success criteria, as defined and calculated on our WCAG coverage page. Partial coverage of a criterion is not conformance with that criterion.
• Compliance documentation: reports, VPAT documents, remediation reports, and accessibility statements (on Professional tier and above).
• Expert developer manual remediation for the remaining WCAG criteria (Enterprise tier only).

3.2 What we don't provide

• Legal advice. Nothing on this site, in our documentation, or in our customer communications constitutes legal advice. We are not a law firm. ADA, Section 508, EAA, AODA, and other accessibility laws involve fact-specific analysis. Consult a qualified attorney for legal questions about your specific situation.
• A guarantee of full WCAG compliance or immunity from lawsuits. No automated tool achieves 100% WCAG conformance, and no vendor can guarantee you will not be sued. We provide a defensible compliance posture; we do not provide a legal shield.
• Coverage of content you control. If you publish a video without captions or a PDF without proper tagging, our automation cannot retroactively fix the underlying media. Content-level compliance remains your responsibility (Enterprise clients receive guidance and remediation support on this).

4. Intellectual Property

The Service, including all software, code, documentation, designs, text, graphics, and other content, is the property of Acute ADA Compliance / Acute SEO or its licensors and is protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your own business purposes during your active subscription period. You retain ownership of your content; we make no claim to it.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT YOUR SITE WILL ACHIEVE OR MAINTAIN FULL WCAG COMPLIANCE.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACUTE ADA COMPLIANCE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

7. Indemnification

You agree to indemnify, defend, and hold harmless Acute ADA Compliance, its parent (Acute SEO), and their respective officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Service, or your violation of any law or third-party right.

8. Termination

We may suspend or terminate your access to the Service at any time for any material breach of these Terms or for non-payment. You may terminate your subscription at any time as described in Section 2.

9. Governing Law and Disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Washoe County, Nevada, and you consent to the jurisdiction of those courts.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted to this page with an updated "Last updated" date, and significant changes will be communicated to active subscribers via email. Continued use of the Service after a change indicates acceptance.
